Terms of Service
By using Bokli, you agree to these Terms of Service. If you do not agree, you may not access or use the platform.
Acceptance & Eligibility
Agreement: By creating an account or using any part of the platform, you enter into a legally binding agreement with Bokli. Age Requirement: You must be at least 18 years old and possess the legal capacity to enter into contracts under the laws of the Kingdom of Saudi Arabia. Electronic Communication: You consent to receive communications from us electronically (including email, SMS, or app notifications).
Account Registration
Accuracy: You must provide accurate, current, and complete information during registration. Security: You are solely responsible for safeguarding your account credentials. Any activity performed under your account is deemed your own. Corporate Use: If you are using Bokli on behalf of a business, you represent that you have the authority to bind that entity to these Terms.
Bokli’s Role: The Platform Provider
The Marketplace: Bokli provides a digital platform (SaaS) that enables Merchants to manage bookings and customer interactions. No Agency: Bokli is not a service provider, agent, or partner of any Merchant. We do not employ Merchants, nor do we provide the services listed on the platform. Quality & Safety: Bokli does not endorse, verify, or guarantee the quality, safety, legality, or suitability of any Merchant services. All transactions are strictly between the Merchant and the Customer.
Merchant Responsibilities & Taxes
Merchants using the platform represent and warrant that they: • Licensing: Hold all necessary professional licenses and permits required by applicable laws in the Kingdom of Saudi Arabia. • Accuracy: Maintain accurate pricing, descriptions, and availability. • Taxes & VAT: Are solely responsible for determining, reporting, and remitting all applicable taxes, including Value Added Tax (VAT), to the Zakat, Tax and Customs Authority (ZATCA). • Legal Compliance: Comply with all applicable laws and regulations, including Saudi consumer protection and e-commerce laws.
Payments & Financial Terms
Third-Party Processors: Payments are handled by authorized third-party gateways. Bokli does not store full credit card details. No Financial Role: Bokli does not act as a financial institution or payment intermediary. No Liability for Failures: Bokli is not responsible for payment delays, banking failures, or unauthorized charges resulting from third-party processor errors. Refund Disputes: Since Bokli is not a party to the service contract, all refund requests must be directed to the Merchant. Bokli may, at its sole discretion, facilitate communication between parties but bears no responsibility for the outcome.
Intellectual Property & Data
Ownership: All software, user interface design, logos, and platform content are the exclusive property of Bokli or its licensors. License to Use: Bokli grants you a limited, non-transferable, non-exclusive license to use the platform for its intended purpose. User Data: By using the platform, you grant Bokli the right to use anonymized and aggregated data for analytics, platform improvement, and business development.
Prohibited Use
You agree not to: • Use the platform for any fraudulent, unlawful, or unauthorized purpose. • Misrepresent services, pricing, or business information. • Interfere with or disrupt the platform or its infrastructure. • Attempt unauthorized access to any part of the system. • Scrape, copy, or misuse Bokli’s content or code without permission. • Use the platform in a way that harms Bokli’s reputation or operations. • Post defamatory, obscene, or abusive content.
Limitation of Liability
“As Is” Basis: Bokli is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. No Consequential Damages: To the maximum extent permitted by applicable law, Bokli shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities. Liability Cap: In no event shall Bokli’s total aggregate liability exceed the total fees paid by you to Bokli in the six (6) months preceding the claim.
Indemnification
You agree to defend, indemnify, and hold Bokli and its affiliates harmless from any claims, liabilities, damages, or legal expenses arising from: • Your breach of these Terms. • Your violation of any applicable laws or third-party rights. • Any dispute between a Merchant and a Customer.
Force Majeure
Bokli shall not be liable for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to acts of God, internet outages, government actions, labor disputes, or pandemics.
Termination
By Bokli: We may suspend or terminate your access immediately, with or without notice, if you violate these Terms or if your actions may expose Bokli or its users to legal risk. By You: You may stop using the platform and close your account at any time.
Governing Law & Dispute Resolution
Governing Law: These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Jurisdiction: Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia.
Changes to Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. We will notify users of significant changes where appropriate. Continued use of Bokli after updates constitutes acceptance of the revised Terms.
